General terms and condition

1 Purpose and Scope
These General Terms and Conditions apply to all services provided by NetVent7 AG, with registered seat in Dallenwil, to its customers. Deviating agreements are valid only if agreed upon in writing. Where these General Terms and Conditions do not contain specific provisions, the relevant provisions of the Swiss Code of Obligations shall apply subsidiarily. By placing an order with NetVent7 AG, the customer acknowledges these General Terms and Conditions. Any general terms and conditions of the customer as well as SIA standards shall not apply unless explicitly agreed upon in writing.

2 Conclusion and Content of the Contract
The scope of services provided by NetVent7 AG is agreed upon in writing with the customer (contract, detailed project and/or order confirmation). The assignment will be executed professionally and with due care. NetVent7 AG is entitled, at any time and without further notice, to involve suitable employees or other qualified third parties (auxiliary persons or substitutes) to perform services on behalf and at the expense of NetVent7 AG.

3 Equipment and Installations
If equipment and installations are provided to the customer during the course of the contract, no modifications or manipulations may be made to them. The customer is liable for any manipulation, damage or loss of the equipment or installations, regardless of fault. Ensuring safety during events for people, animals, the environment, and the protection of the provided materials (equipment and installations) is the sole responsibility of the customer. NetVent7 AG assumes no liability for the legality of the content of the event. NetVent7 AG is entitled to withdraw from the contract at any time without compensation if the event cannot be conducted due to safety concerns and/or inadequate protection. All equipment and installations remain the property of NetVent7 AG. The customer has no right of retention, and any assignment or transfer to third parties is prohibited.

4 Liability
The customer must provide all necessary information for the fulfillment of the assignment and is liable, even without fault, for any additional work caused by incorrect, incomplete, or delayed information. Complaints about deliveries and services must be made immediately. NetVent7 AG must be given the opportunity to remedy any defects. NetVent7 AG shall only be liable for unlawful intent and gross negligence, and solely for direct damages. Liability for consequential damages and personal injury is excluded. In cases where third parties are engaged (substitutes or auxiliary persons), NetVent7 AG is only liable for their proper selection and instruction. Email communication takes place over public, non-secure, and unencrypted data transmission networks. NetVent7 AG disclaims any liability for damage resulting from transmission errors, disturbances, or interference in the network providers' systems. Any other liability of NetVent7 AG is excluded to the extent permitted by law.

5 Confidentiality and Intellectual Property Rights
All data and information (such as raw data, renderings, photos, plans, drawings, etc.) provided or made known to the customer during the offer process or contract execution remain the property of NetVent7 AG. Such data and information may only be used for the offer process or contract execution and may not be reproduced or disclosed to third parties without the written consent of NetVent7 AG. If no contract is concluded or upon written request from NetVent7 AG, the customer agrees to return all provided data and information and to destroy or permanently delete any copies or electronic data. In particular, all data and information, including ideas, may not be used outside of the contractual relationship. NetVent7 AG acquires all rights to the work results created during the performance of the assignment, including all copyrights, intellectual property rights, and rights of use such as patent or license rights.

6 Payment Terms
The amount of compensation shall be agreed upon in writing. Value-added tax (VAT) will be charged in addition. NetVent7 AG may request reasonable advance payments and issue interim invoices for work performed and expenses incurred. NetVent7 AG is not obligated to provide services before receiving payment. The customer's right to set-off is excluded.

7 Contract Termination
The customer may withdraw from the contract only in cases of force majeure making performance impossible. In such cases, the following cancellation fees apply: cancellation 30 days before the event: 40% of the agreed compensation; cancellation up to 10 days before the event: 60%; cancellation up to 3 days before the event: 80%; later cancellation: 100%. NetVent7 AG may alternatively charge the actual costs incurred if these exceed the flat-rate cancellation fee.

8 Transitional Provision
These General Terms and Conditions also apply to existing contractual relationships if the customer is informed of this in writing and does not object in writing within one month of such notification.

9 Amendments to the General Terms and Conditions
NetVent7 AG may amend or supplement these General Terms and Conditions at any time. Such changes will be communicated to the customer. Unless the customer objects in writing within one month, the changes are deemed accepted.

10 Severability Clause
Should one or more provisions of these General Terms and Conditions be wholly or partially invalid, unenforceable, or otherwise legally ineffective, the validity of the remaining provisions shall not be affected. Invalid provisions shall be replaced by valid ones that are as economically equivalent as possible.

11 Applicable Law and Jurisdiction
Swiss law shall apply exclusively to the exclusion of all conflict-of-law rules. The exclusive place of jurisdiction for all legal proceedings is the registered office of NetVent7 AG.
